Welcome to Amplifii Marketplace LLC ("Amplifii Marketplace", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our website and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. Your use of the Platform is also subject to our Privacy Policy.
Buyer: A user who purchases social media interactions on the Platform.
Seller: A user who sells social media interactions on the Platform.
User: Any individual or entity using the Platform, including Buyers and Sellers.
Brand: A Buyer, Advantage Client, sponsor, advertiser, or other business that uses the Platform to purchase Interactions, create campaigns, or create or fund Bounties.
Interaction: Any social media activity, including reposts, story posts, comments, and original content, offered by Sellers.
Bounty: A campaign, opportunity, or task made available through the Platform that may include eligibility requirements, content requirements, proof requirements, deadlines, budgets, rewards, or other campaign terms.
Claim: A User's request to participate in, reserve, accept, or complete a Bounty or other campaign opportunity.
Proof of Completion: Any URL, screenshot, post, story, media, metric, report, or other evidence submitted or collected to verify an Interaction, Bounty, or campaign deliverable.
Escrow: A financial arrangement where funds are held by Amplifii Marketplace until the completion of an Interaction.
Connected Social Account: A social media account that you connect to the Platform, including through Meta, Facebook, Instagram, X, or another third-party platform.
Platform Data: Data received from third-party platforms or APIs, including connected account identifiers, usernames, profile information, media metadata, post and story metrics, insights, engagement metrics, authentication status, and access tokens.
Amplifii Score: The seller rating system that grades on a scale of 0-100 using our proprietary formula to best determine potential impact from a purchased interaction.
2.1 Registration: To use the Platform, you must create an account by providing accurate and complete information, which may include your name, email address, social media usernames, profile picture, prices for interactions, hours of operation, timezone, payout information, business information, and Connected Social Account information.
2.2 Privacy: We handle personal information and Platform Data as described in our Privacy Policy. You acknowledge that certain account, listing, pricing, transaction, Bounty, proof, and performance information may be displayed or shared with other marketplace participants when needed to operate the Platform, complete transactions, verify performance, resolve disputes, or provide reporting.
2.3 Account Security: You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You may not share account credentials, access tokens, or connected account permissions with anyone who is not authorized to act on your behalf.
2.4 Connected Social Accounts: You may be asked or permitted to connect social accounts to the Platform. By connecting a social account, you authorize Amplifii Marketplace to request, receive, store, process, and display information made available through the permissions you approve and as described in our Privacy Policy. You represent that you own or are authorized to connect each account you connect. If you disconnect a social account or revoke permissions, some features, including verification, Bounty eligibility, metrics, reporting, or payouts, may be unavailable or delayed.
2.5 Account Verification and Approval: We may verify accounts through third-party platform authentication, Meta, Facebook, Instagram, X, API-based verification, direct-message codes, manual review, or other reasonable methods. We maintain the right to deny, suspend, or remove any User, Seller, Brand, listing, Claim, or Bounty from the Platform for quality assurance, brand safety, compliance, fraud prevention, or any other reason permitted by these Terms.
3.1 Listing Interactions: Sellers list their interactions on the Platform, including prices and other relevant details. Amplifii Marketplace has the right to display this information publicly until the Seller requests removal.
3.2 Buying Interactions: Buyers browse the marketplace, add interactions to their queue, and send offers to Sellers. A Seller's acceptance of an offer does not by itself confirm the Interaction or payment. The Buyer must reconfirm the accepted offer, which initiates the active Interaction.
3.3 Payment and Escrow: Once a Buyer confirms an accepted offer, funds are held in escrow. Sellers complete the Interaction and provide a link to the completed interaction in the dashboard. Upon Buyer confirmation of the completed interaction, funds are released to the Seller.
3.4 Fees: Unless a different fee is disclosed in the applicable transaction flow, a 15% marketplace fee is imposed on Sellers for each completed transaction. Additionally, a 2.9% Stripe processing fee applies to transactions. Bounty transactions and campaign transactions may include marketplace fees, platform fees, payment processing fees, payout fees, refund or chargeback costs, taxes, or other fees disclosed during campaign creation, checkout, claim acceptance, or payout. Fees may be deducted from payouts, charged to Buyers or Brands, or otherwise applied as disclosed in the Platform. Payment processing is handled by Stripe Connect or other payment processors, and additional fees may apply under those providers' terms and conditions. Fees are generally non-refundable except where required by law or expressly stated in writing by Amplifii Marketplace.
3.5 Amplifii Score: The Amplifii Score grades Sellers on a scale of 0-100 using our proprietary formula to best determine potential impact from a purchased interaction. We are not liable for the actual result of the interaction. The score may increase or decrease at the discretion of Amplifii Marketplace based on data gathered from our third-party API partners and our discretion.
4.1 Bounty Creation and Participation: Brands, Buyers, or Amplifii Marketplace may create Bounties or campaign opportunities through the Platform. Each Bounty may include a brief, eligibility criteria, budget, reward amount, content requirements, deadlines, proof requirements, approval criteria, and other campaign-specific terms. By creating, claiming, accepting, or completing a Bounty, you agree to the applicable Bounty details and these Terms.
4.2 Claims and Approval: Claiming or submitting work for a Bounty does not guarantee approval, participation, payment, or payout. Amplifii Marketplace, the applicable Brand or Buyer, or both may review and approve or reject Claims, Proof of Completion, and payout eligibility. Submissions may be rejected if they are late, incomplete, fraudulent, unverifiable, inconsistent with the Bounty brief, inconsistent with third-party platform rules, or otherwise noncompliant with these Terms.
4.3 Proof, Metrics, and Reporting: You authorize Amplifii Marketplace to collect, calculate, display, and share Proof of Completion, Connected Social Account information, post and story metrics, account insights, engagement metrics, screenshots, URLs, and campaign performance information as needed to operate Bounties, verify completion, determine payout eligibility, resolve disputes, and provide reporting to marketplace participants.
4.4 Bounty Funding, Payouts, and Fees: Bounty budgets, campaign funds, and rewards may be collected, authorized, held, released, refunded, or otherwise processed through the Platform and its payment processors. Payouts may be net of marketplace fees, platform fees, payment processing fees, payout fees, refund or chargeback costs, taxes, or other disclosed fees. You are responsible for your own tax obligations arising from Bounties, Interactions, payouts, rewards, or other transactions.
4.5 Content and Usage Rights: You retain ownership of content you create, subject to any rights you grant in a Bounty brief, campaign agreement, or other written agreement. By submitting content, Proof of Completion, or performance information through the Platform, you grant Amplifii Marketplace and the applicable Brand or Buyer a limited right to use, reproduce, display, and share that material as needed to review, verify, administer, report on, and document the Bounty or campaign.
4.6 Advertising and Disclosure Compliance: Users, Sellers, creators, Brands, and Buyers are responsible for complying with all applicable advertising, endorsement, sponsorship, consumer protection, and disclosure laws and rules, including FTC endorsement guidance and applicable social platform policies. Amplifii Marketplace may provide tools or reminders, but each participant remains responsible for proper disclosures and lawful campaign conduct.
5.1 Authorization: The Platform may allow you to authenticate or connect Facebook, Instagram, Meta, X, or other third-party accounts. By using connected-account features, you authorize Amplifii Marketplace to access and process Platform Data made available through the permissions you approve, including data needed for account verification, Bounty eligibility, campaign reporting, performance measurement, fraud prevention, and marketplace analytics.
5.2 Platform Rules: You agree to comply with all applicable third-party platform terms, developer policies, community guidelines, and API rules, including any applicable Meta, Facebook, Instagram, X, Stripe, and payment processor terms. You may not use the Platform to violate third-party platform rules, submit false metrics, manipulate engagement, access accounts without authorization, or misuse Platform Data.
5.3 API Availability and Accuracy: Third-party platforms may change, suspend, limit, or revoke access to APIs, metrics, permissions, or connected-account features. Amplifii Marketplace is not responsible for delays, inaccuracies, outages, unavailable metrics, changed permissions, or other issues caused by third-party platforms or your failure to maintain valid permissions.
5.4 Disconnection: You may disconnect supported connected accounts where the Platform makes that option available or by contacting us. Disconnection may prevent Amplifii Marketplace from verifying certain Interactions, Bounties, post metrics, story metrics, account insights, or campaign performance and may affect eligibility, review, reporting, or payout.
All Terms of Service apply to custom bundle agreements with our Advantage Clients, including any additional terms agreed upon for the extended relationship. Any specific modifications or additional requirements will be outlined and agreed upon before initiation of the extended agreement including exclusivity or non-circumvention clauses. We reserve the right to terminate an agreement if a clause is broken.
Sellers who have a sponsor brand on their profile are prohibited from promoting competing brands. If a seller enters into a sponsorship agreement, they must ensure that no competing brand receives promotion through their interactions on or off the Platform. Violation of this clause may result in removal from the platform.
8.1 Discounted Interactions: Advantage Clients have the ability to subsidize individual seller interactions for Buyers. If the requested content promotion meets the Advantage Client's criteria (e.g., screenshots of the client's platform, inclusion of their social media handle, or a link to their site), the Buyer will receive a discount funded by the Advantage Client.
8.2 Approval Process: Amplifii Marketplace will approve or deny subsidy requests on behalf of the Advantage Client. If accepted, the Seller will receive the full interaction amount, and the Buyer will receive a discount, with the difference covered by the Advantage Client's subsidy budget.
9.1 Reporting Issues: In case of complications, either party may submit evidence to support@amplifii.market. Our conflict mediation team will review and make a determination.
9.2 Escrow, Bounty, and Payout Decisions: Amplifii Marketplace has the right to return funds to the Buyer or Brand, release funds to the Seller or creator, reject or approve Proof of Completion, adjust payout eligibility, withhold disputed amounts, or take other reasonable action based on the evidence provided, applicable Bounty terms, connected account metrics, Platform Data, fraud indicators, or other relevant information.
Amplifii Marketplace is a platform-first marketplace. To ensure the security, trust, and continued development of the platform, all transactions must be completed on Amplifii Marketplace.
Why This Policy Exists:
Security & Buyer Protection: On-platform transactions are protected. Off-platform transactions are not eligible for Buyer Protection, refund support, or security guarantees.
Operational Costs: On-platform transactions support Amplifii Marketplace's operational expenses, including server costs, marketing, and product improvements.
Fairness & Transparency: The platform's data analytics, insights, and Amplifii Score system rely on accurate tracking of on-platform interactions.
Detection & Enforcement:
Algorithmic Monitoring: Amplifii Marketplace uses a proprietary algorithm to detect when transactions are taken off-platform. Our system tracks buyer and seller activity to identify suspicious behavior.
Two-Strike System: Amplifii Marketplace enforces a two-strike policy to ensure fair usage.
Strike 1: Users receive a formal warning and their account is flagged.
Strike 2: The user’s account is permanently suspended from Amplifii Marketplace.
All Users agree to keep their activity on the Platform discrete. Revealing activity on the Platform to the public is considered a removable offense.
12.1 Prohibited Conduct: Users must not cause harm to Buyers, Sellers, creators, Brands, or other Users; submit false or misleading information; submit fake or manipulated Proof of Completion; use bots or artificial engagement; misrepresent ownership or authorization of a Connected Social Account; violate third-party platform rules; infringe intellectual property or privacy rights; bypass Platform fees; attempt unauthorized access to data, accounts, systems, or access tokens; or use the Platform for unlawful, deceptive, abusive, or fraudulent activity.
12.2 FTC and Advertising Compliance: Sellers, creators, Brands, and Buyers must disclose sponsored, paid, gifted, affiliate, or otherwise incentivized content in compliance with FTC guidelines, applicable advertising laws, and applicable third-party platform policies. Amplifii Marketplace is not responsible for a User's failure to disclose properly but may provide education, reporting functionality, review tools, or enforcement where appropriate.
13.1 Right to Terminate: Amplifii Marketplace reserves the right to suspend or terminate your account at our discretion, including for breaches of these Terms, fraud, noncompliance with third-party platform terms, repeated rejected submissions, chargebacks, misuse of Platform Data, or any other policies.
13.2 Effect of Termination: Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. You must immediately cease all use of the Platform. Termination does not eliminate obligations that accrued before termination, including payment, fee, tax, confidentiality, dispute, indemnity, or compliance obligations.
14.1 No Warranty: The Platform is provided "as is" and "as available". Amplifii Marketplace disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee any campaign result, engagement level, audience response, post or story metric, conversion, payout timing, third-party platform availability, API availability, or continued availability of connected-account features.
14.2 Third-Party Services: Amplifii Marketplace does not control Meta, Facebook, Instagram, X, Stripe, payment processors, or other third-party platforms and is not responsible for their actions, omissions, policies, API changes, outages, data inaccuracies, account restrictions, fees, chargebacks, or service interruptions.
14.3 Limitation of Liability: In no event shall Amplifii Marketplace be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, campaign value, audience reach, engagement, or other intangible losses.
This limitation applies to claims resulting from your use or inability to use the Platform, unauthorized access to data, errors in content or metrics, Proof of Completion, Platform Data, third-party service issues, or the defamatory, offensive, illegal, deceptive, or noncompliant conduct of any third party.
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the terms.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
You agree to defend, indemnify, and hold harmless Amplifii Marketplace and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (iv) your violation of any law, rule, or regulation of the United States or any other country; (v) any claim or damages that arise as a result of any of your User Content or any that is submitted via your account; or (vi) any other party’s access and use of the Platform with your unique username, password, or other appropriate security code.
This indemnity also applies to claims arising from Bounty submissions, Proof of Completion, connected social accounts, Platform Data, third-party platform terms, payment disputes, chargebacks, advertising disclosures, and your violation of any Meta, Facebook, Instagram, X, payment processor, or other third-party terms.
18.1 Entire Agreement: These Terms constitute the entire agreement between you and Amplifii Marketplace regarding the use of the Platform, superseding any prior agreements between you and Amplifii Marketplace relating to your use of the Platform.
18.2 Waiver and Severability: The failure of Amplifii Marketplace to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
18.3 Assignment: These Terms and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Amplifii Marketplace without restriction.
